Technical Representative- Construction And Building Materials

We take assignments that require creation of construction scheduling timelines. We also validate construction methods and materials. We typically see potential clients think choosing the lowest cost construction method and materials is the best for their budgets. Those potential clients we generally decline take on due to their unawareness of the on-going maintenance upkeep of their project over the life of the building(s) that they did not budget for. It is much easier and more effective to use higher quality materials, best construction methods for the long haul and more experienced contractors upfront, as most project are financed over long periods of time and that maintenance is less and virtually baked in. Going cheap, those cost are accounted for and potential clients end up with the long term financing of building(s) that need significant upkeep or remodeling in 10 years or less.

A typical assignment will have these deliverables:

A. A website with Client’s projects.

B. Brochure or magazine for Client’s projects for it’s Clients, not investors.

C. A separate website for Client’s investors (this will likely be a subdomain of the new website).

D. Setup of Client’s projects in Consultant’s construction/project management software which includes, to do list capability, messaging, daily logs, bids, estimates, client payments, vendor/subcontractor payments, rfi’s, financial reporting, scheduling and more. After Client’s projects are set up, Client has the option to have Consultant transfer the data/projects to a new construction/project management account that Client will sign up and pay for. This is the preferred procedure because the software is extremely robust, and Consultant wants to ensure that Client will have access to all the training tolls available during the on-boarding process.

E. Organizational structure for Client’s proposed operation(s).

F. Entity creation documents, ready to file with the respective agencies. If Client elects to have Consultant file the entity creation documents with the respective agencies, those agency fees will be reflected on the expense’s invoices. Once those expenses are pre-paid, Consultant would complete the filings.

G. Draft new entity governing documents for your and your attorney’s review, modification, and approval. This deliverable is to be used as a guideline or head start and not to constitute legal, tax or investment advice.

H. Draft new entity financing documents for your and your attorney’s review, modification, and approval. This will absolutely be provided by a subsidiary of the Consultant and a separate agreement governing this deliverable will issue with its governing or applicable law being the State of Delaware and expressly not the State of New York. This deliverable is to be used a guideline or head start and not to constitute legal, tax or investment advice.

I. Draft new entity investment documents for your and your attorney’s review, modification, and approval. This will absolutely be provided by a subsidiary of the Consultant and a separate agreement governing this deliverable will issue with its governing or applicable law being the State of Delaware and expressly not the State of New York. This deliverable is to be used as a guideline or head start and not to constitute legal, tax or investment advice.

J. Provide trustee services for any trust setup, except a family trust. This will absolutely be provided by a subsidiary of the Consultant and a separate agreement governing this deliverable will issue with its governing or applicable law being the State of Delaware and expressly not the State of New York. This deliverable may be on hold until after all other deliverables are completed, to make sure that there is no conflict of interest between the trustee services and other services provided. Consultant and Client will discuss the timing of this deliverable, when appropriate.

K. Draft a comprehensive Construction Management Agreement for your and your attorney’s review, modification, and approval. This may be provided by a subsidiary of the Consultant. This
deliverable is to be used as a guideline or head start and not to constitute legal, tax or investment advice.

L. Draft a comprehensive Subcontractor Agreement for your and your attorney’s review, medication and approval. This may be provided by a subsidiary of the Consultant. This deliverable is to be used as a guideline or head start and not to constitute legal, tax or investment advice.

M. Review Client’s projects.

N. Conduct site visit(s) on Client’s projects.

O. Provide real estate brokerage services to include real property information, draft Term Sheets/Letter of Intents and other representation as required. This will be provided by Residential World Brokerage, LLC, NY License # 10491202223, a subsidiary of the Consultant and a separate agreement governing this deliverable will issue as appropriate.

P. Client can add or reduce the deliverables at any time with written notice.
